Courts treat unincorporated associations as contracts between members—so if there’s no written agreement, there’s no enforceable structure, no clear rights, and no shield from liability.
A solid membership agreement:
– Defines who’s actually a member
– Establishes your rules instead of default state law
– Protects leaders from personal liability
– Strengthens your First Amendment freedom-of-association claims
– Prevents internal disputes before they start
If the agreement is weak or missing, the entire association is legally exposed.
